구매자는 곧 환불할 수 있는 즉시 신용장을 판매자에게 지불할 수 있다.

신용장의불효유효기간이 상열선적기간으로 15일간 중국이 만료되면 이 신용장에서는 반드시 분운을 허가하고 운반할 수 있도록 명심해야 한다.

Payment:

　　By confirmed, irrevocable, pferable and divisible L/C to be available by sight draft to reach the sellers before ___/___/_____ and to remainvalid for ingotiation in China until 15 days after the aforesaid time of shipment. Tje L/C must specify that phipment and partial shipments are allowed.

수재, 화재, 지진, 가뭄, 전쟁, 합의 측이 예견할 수 없고, 통제, 피하고 극복하는 다른 사건으로 인해 일시적으로 전부나 일부 이행할 수 없는 이 협약은 그 측이 책임을 지지 않는다.

그러나 불가항력 사태의 영향을 받은 쪽은 가능한 한 빨리 발생한 사건에 대해 통지하고 불가항력 사건이 발생한 15일 이내에 관련 기관이 내놓는 불가항력 사건의 증명서를 상대방에게 부쳐야 한다.

Force Majeure:

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

협의를 이행하는 과정에서 논란이 생기면 쌍방은 우호적인 협상으로 해결해야 한다.

우호협상을 통해 합의를 이루지 못하면 중국국제무역촉진위원회 대외무역중재위원회에 제출하면 중재 절차에 따라 중재규정을 시행한다.

이 위원회는 최종 결정으로 쌍방에 대해 모두 구속력이 있다.

중재 비용은 따로 규정 외에 패소한다.

Arbitration

　　All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
